Terms of Use

1. Provider and scope

Elys City is a digital service provided by DIOMIKO UG (haftungsbeschränkt), Frankenbacher Str. 32, 74336 Brackenheim, Germany. These Terms apply to the use of Elys City and to purchases of virtual buildings/plot positions, building upgrades and advertising spaces, including roadside billboards and the moving advertising boat.

2. Virtual plots and buildings

A “plot” in Elys City is exclusively a virtual position within the digital city. A purchase does not convey ownership of or any other right to real property, a corporate participation or a right to an internet domain. In return for the one-time price displayed during checkout, the configured virtual building is made available at the selected position. The current price is based on the selected number of floors and is displayed in full before payment.

3. Contract formation and payment

By selecting “Continue to payment” after accepting the required terms, you submit a binding order for the configured service. Payments are processed by Stripe. The contract is concluded once payment has been successfully confirmed and the booked service is made available. Invoice and receipt information may be provided through Stripe and the relevant Elys City functions.

4. User account and assignment

A building can generally be purchased without prior registration. A verified account may be required for later editing, managing offers and other account-related functions. Login credentials must not be shared with unauthorized third parties. Users are responsible for the accuracy of their information and the security of their access.

5. User content and rights of use

You may only submit names, text, images, logos, trademarks and links that you are legally entitled to use and publish. By uploading content, you grant DIOMIKO a non-exclusive, worldwide right, limited to the duration and purposes of operating and promoting Elys City, to technically store, scale, crop, display and make that content publicly accessible. Your other rights in the content remain unaffected.

6. Prohibited content and moderation

Prohibited content includes, in particular, unlawful content, infringements of copyright, trademark or personality rights, fraudulent or misleading offers, malware or dangerous links, and content whose publication violates mandatory law. DIOMIKO may review reported or apparent problematic content, temporarily block it and remove it where justified. Where possible and reasonable, the user will be given an opportunity to clarify the matter. Statutory rights and obligations remain unaffected.

7. Building management

Account holders may edit their own buildings using the available functions. ElysCity does not support offers, sales or ownership transfers between users.

8. Building upgrades

Additional floors may be purchased by the authorized account holder at the price shown before purchase. The upgrade is activated after successful payment confirmation.

9. Advertising spaces

Roadside billboard spaces and the moving advertising boat can be booked subject to availability. Both use the same current pricing: the 24-hour plan costs a one-time fee of €2.00 and starts when the booking is activated after confirmed payment; the monthly subscription costs €50.00 per billing period and renews automatically for additional billing periods until cancelled. The prices shown in the booking dialog are authoritative.

A monthly subscription can be cancelled under “My campaigns” for the end of the current paid billing period. Cancellation stops automatic renewal; the already paid period remains active. The creative, link, title and text may be changed within the available functionality without extending the paid campaign period. The rules on user content also apply to advertising content.

10. Consumers and withdrawal

Consumers generally have a statutory right of withdrawal for distance contracts. For digital content not supplied on a tangible medium, the right of withdrawal may expire under the statutory requirements where the consumer expressly agrees that performance begins before the withdrawal period has expired and acknowledges the resulting loss of the right of withdrawal. For services, consumers may expressly request that performance begin during the withdrawal period; the legal consequences depend on the status of performance and the applicable statutory requirements. The required declarations are obtained separately during the relevant order process. These Terms do not restrict statutory withdrawal rights.

11. External links and third-party content

Buildings, advertisements and other user content may contain links to external websites operated by third parties. The respective third-party provider is responsible for the content and availability of those websites. DIOMIKO does not adopt third-party content as its own merely by providing or displaying a link. If DIOMIKO becomes aware of unlawful content or a problematic link, it may review, disable or remove the link. Statutory liability obligations remain unaffected.

12. Availability and changes to the service

DIOMIKO aims to provide Elys City reliably, but uninterrupted availability cannot be guaranteed for technical reasons. Maintenance, security measures and further development may require temporary restrictions. Paid time-limited services will not be arbitrarily shortened; mandatory legal and security measures remain reserved.

13. Liability

DIOMIKO is liable without limitation in cases of intent and gross negligence, for damage arising from injury to life, body or health and in other cases of mandatory statutory liability. In the event of slightly negligent breach of material contractual obligations, liability is limited to the foreseeable damage typical for the contract. Otherwise, liability for slight negligence is excluded to the extent permitted by law.

14. Final provisions

German law applies, without prejudice to mandatory consumer-protection provisions of the country in which a consumer has their habitual residence. For business customers, the statutory rules on jurisdiction apply; where legally permissible, the registered office of DIOMIKO UG (haftungsbeschränkt) is the place of jurisdiction.
